Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Landwide Ltd. ("Landwide," "we," "us," or "our"), a company registered in Ireland, governing your access to and use of the Landwide property management platform, including any associated websites, applications, and services (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

  • "Organization" means a company, business, or entity that uses Landwide to manage properties
  • "Owner" means the primary administrator of an Organization account
  • "Member" means any user who has been invited to and accepted membership in an Organization
  • "Property" means any real estate asset managed through the Service
  • "Tenant Data" means personal information about tenants stored in the Service
  • "User Content" means any data, information, or materials you submit to the Service

3. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • Provide accurate and complete registration information
  • If acting on behalf of an organization, have the authority to bind that organization

4. Account Registration and Security

4.1 Account Creation

To access the Service, you must create an account using accurate, current, and complete information. You agree to update your information promptly if it changes.

4.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized access or security breach
  • Ensuring that you log out from your account at the end of each session

4.3 Organization Accounts

Organization Owners are responsible for managing member access, permissions, and ensuring all members comply with these Terms. Owners may invite members, assign roles, and remove access as needed.

5. Service Description

Landwide provides a cloud-based property management platform that enables users to:

  • Manage property portfolios and building information
  • Track tenant relationships and lease agreements
  • Record and monitor rent payments and financial transactions
  • Manage expenses and generate financial reports
  • Store and organize property-related documents
  • Collaborate with team members and stakeholders

The Service is provided "as is" and we may modify, suspend, or discontinue features at any time with reasonable notice.

6. Acceptable Use

6.1 Permitted Use

You may use the Service only for lawful purposes related to property management and in accordance with these Terms.

6.2 Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the intellectual property rights of others
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service or servers
  • Use the Service to harass, abuse, or harm others
  • Collect or harvest user data without authorization
  • Use automated systems to access the Service without permission
  • Sublicense, resell, or redistribute the Service without authorization
  • Store or process data that violates privacy laws (e.g., GDPR)

7. User Content and Data

7.1 Ownership

You retain ownership of all User Content you submit to the Service. By uploading content, you grant Landwide a limited license to store, process, and display your content solely to provide the Service.

7.2 Your Responsibilities

You are solely responsible for:

  • The accuracy and legality of User Content
  • Ensuring you have the right to upload and share the content
  • Maintaining appropriate backups of your data
  • Compliance with data protection laws when processing personal data

7.3 Data Processing

When you use Landwide to store tenant data or other personal information, you act as the data controller under GDPR, and Landwide acts as your data processor. We process such data only in accordance with your instructions and our Privacy Policy.

8. Subscription and Payment

8.1 Subscription Plans

Access to certain features may require a paid subscription. Subscription details, pricing, and included features are available on our website.

8.2 Billing

Subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your designated payment method for all fees when due.

8.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

8.4 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes take effect at the start of the next billing period.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Landwide and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Landwide name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Landwide Ltd. You may not use these marks without our prior written permission.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT MAKE ANY WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LANDWIDE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Landwide and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature in settings. Organization Owners may delete their entire organization.

13.2 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, engage in illegal activity, or for any other reason with reasonable notice.

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow for data export, after which it will be deleted in accordance with our Privacy Policy.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ireland. Before initiating legal proceedings, you agree to attempt to resolve any dispute informally by contacting us.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Landwide regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
